An offer of $1,800,000.00 has been submitted by Quiet Creek Properties, LLC for the purchase of certain property owned by Haywood County, more particularly described as 1585 Jonathan Creek Rd., Waynesville, NC 28785, PIN 8607-27-9452, Deed Book 715, page 657, Haywood County Registry (“Property”). Further information regarding the terms of the received bid are as follows:
a. DUE DILIGENCE FEE and PERIOD: In addition to a deposit of five percent (5%) of the bid amount, the bidder shall pay a nonrefundable due diligence fee of $5,000.00 to the County with their bid. Upon acceptance of the bid, the bidder will have until November 21, 2022 to conduct due diligence studies, surveys, and investigations regarding the Property. If the bidder timely closes on the purchase of the Property, the due diligence fee and deposit will be applied to the purchase price. If during the Due Diligence Period, the successful bidder withdraws their bid, the County will retain the due diligence fee and return the bidder’s bid deposit. Thereafter, the County may, in its sole discretion, sell the property to the next highest qualified bidder or, for any reason or no reason, reject all bids. The Due Diligence Period can be extended for thirty days (30) days by paying an additional nonrefundable fee of $5,000.00.
b. CLOSING: If bidder fails to withdraw their bid within the Due Diligence Period, bidder shall proceed to closing within thirty days (30) days of such expiration of the Due Diligence Period.
c. CLOSING COSTS:
a. County will pay for all required documentary transfer taxes, the usual Seller's document drafting charges and all prorated real estate taxes for the year in which the closing takes place.
b. The Buyer/bidder will pay for any title search and title insurance premium, and desired survey and customary document drafting and recording fees.
d. UPSET BID DEADLINE and PROCESS: Persons wishing to upset the above offer shall submit their bid in the form attached to this Public Notice listed on the Haywood County website (www.haywoodcountync.gov) to the County Manager’s office at 215 N. Main Street, Waynesville, NC 28786 on or before 5:00 P.M., June 20, 2022. If there is more than one bid with the same highest bid price, the first such bid received will become the new offer.
A qualifying higher bid must be accompanied by a deposit and due diligence fee to raise the bid by not less than ten percent (10%) of the first one thousand dollars ($1,000) and five percent (5%) of the remainder. When a bid is raised, the bidder shall deposit with the County five percent (5%) of the increased bid, and the County shall re-advertise the offer at the increased bid. This procedure shall be repeated until no further qualifying upset bids are received, at which time the County may accept the offer and sell the property to the highest bidder. The County may at any time reject any and all offers.
The next qualifying higher bid at a minimum is an amount not less than $1,890,050.00.
The deposit and due diligence fee may be made in a cashier’s check, or certified check made payable to “Haywood County.” The County will return the deposit and due diligence fee on any bid not accepted, and will return the same on an offer later upset by a higher bid. The County will retain the due diligence fee of any qualifying high bidder that withdraws their bid as allowed during the Due Diligence period, otherwise the fee will be applied to the purchase price. The County will return the deposit of the final high bidder at closing or apply it to the purchase price.
The buyer must pay cash at closing.
The Haywood County Board of Commissioners will approve the final offer before the sale is closed, which it will do within 30 days after the final upset bid period has passed. The County reserves the right to withdraw the property from sale at any time before the final high bid is accepted and reserves the right at all times to reject all bids.
